Deployment License <p>

Wintermute Ltd ("Wintermute") will license this Software to you if
 accept all the following terms.

Definitions<p>

a. "Server" is defined as a single computer capable of executing the Software.
<p>


Licene Terms<p>
<p>1. Subject to the terms of this Agreement, Wintermute grants to 
the Customer a non-exclusive, non-transferable license to use the Software 
in its application for internal business purposes only.

<p>2. Customer may use the Software with the number of Servers specified in Wintermute's Invoice.

<p>3. Wintermute reserves all rights to the Software not explicitly
   granted by the License.

<p>4. The Customer may not reverse engineer, decompile, 
disassemble or otherwise attempt to determine source code of the Software,
 disclose the Software's source code or information 
obtained from the Software's source code to any third party without
Wintermute's prior written consent, other than expressly 
 allowed herein. 

<p>6.You may not use the Software as part of Applications 
distributed to third parties without the third party obtaining a Deployment license from Wintermute, or you yourself obtaining a 
 Third-Party license.

<p>7. You may not lease, rent, resell. sublicense or distribute the Software to a third party or distribute the Software 
as part of an ASP, VAR, OEM, distributor or reseller arrangement,
 or otherwise use it except as expressly permitted in this Agreement. 
 Uses of the Software not expressly permitted are forbidden.
 
<p>8. The License will terminate immediately without notice from Wintermute
   if you fail to comply with any provision of the License.
   Upon such termination, you must destroy all copies and
   derived works of the Software.  You may terminate the License at
   any time by destroying all copies and derived works of the Software.

<p>9. You acknowledge that you are solely responsible for the use you
   make of the Software. Accordingly, the Customer agrees to indemnify and
   hold Wintermute harmless for any demands, claims, or suits by a third party
   for loss, damages or expenses (including attorneys' fees) arising out
   of, or related to, use of the Software by you or any other
   individuals or entities.

<p>10. The Software is provided "AS IS," without a warranty of any kind.
    ALL EXPRESS OR IMPLIED REPRESENTATIONS AND WARRANTIES, INCLUDING ANY
    IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE
    OR NON-INFRINGEMENT, ARE HEREBY EXCLUDED.

<p>11. Wintermute reserves the right at any time not to release or to discontinue release of any Software
    and to alter prices, features, specifications, capabilities, functions, licensing terms, 
    release dates, general availability or other characteristics of the Software.

<p>12. Wintermute AND ITS LICENSORS SHALL NOT BE LIABLE FOR ANY DAMAGES
    SUFFERED BY YOU OR ANY THIRD PARTY AS A RESULT OF USING OR DISTRIBUTING
    THE SOFTWARE. IN NO EVENT WILL Wintermute OR ITS LICENSORS BE
    LIABLE FOR ANY LOST REVENUE, PROFIT OR DATA, OR FOR DIRECT, INDIRECT,
    SPECIAL, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER CAUSED
    AND REGARDLESS OF THE THEORY OF LIABILITY, ARISING OUT OF THE USE OF OR
    INABILITY TO USE THE SOFTWARE, EVEN IF HE HAS BEEN ADVISED OF THE
    POSSIBILITY OF SUCH DAMAGES.      

<p>13. Any action related to the License will be governed by United Kingdom 
    law. No choice of law rules of any jurisdiction will apply.
